By accessing kuickie.site or engaging our E-com Operations & Automation services, you agree to be legally bound by these Terms and Conditions and our Privacy Policy. These terms constitute a binding legal agreement between you, the client, and Kuickie, governing your use of our automated inventory systems, AI-driven support tools, and third-party integrations. If you are entering into this agreement on behalf of a company or legal entity, you represent that you have the authority to bind such entity to these terms. Failure to agree with any part of these conditions prohibits you from using our services or accessing our proprietary automation frameworks. We reserve the right to update or modify these terms at any time without prior notice, and your continued use of the platform following any changes signifies your acceptance of the revised terms.

Description of Automation Services

Kuickie provides specialized digital infrastructure services including, but not limited to, Multi-Channel Inventory Sync, AI-Driven Customer Support implementation, and 3PL Warehouse Integration. Our services are designed to streamline e-commerce operations by reducing manual friction and enhancing backend efficiency through technical engineering. While we strive for 100% uptime and accuracy in our synchronization tools, you acknowledge that third-party platform API changes (such as those from Shopify, Amazon, or eBay) are beyond our direct control. Kuickie shall not be held liable for operational delays caused by external platform outages or modifications. All service delivery timelines provided during the onboarding phase are estimates and may vary based on the complexity of your existing digital architecture.

Client Obligations and Data Accuracy

To ensure the successful deployment of our automation frameworks, you agree to provide accurate, complete, and up-to-date information regarding your inventory, sales data, and administrative access to your e-commerce platforms. You are solely responsible for maintaining the confidentiality of any credentials shared with Kuickie and for all activities that occur under your accounts. Inaccurate data provided by the client can lead to synchronization errors or inventory discrepancies for which Kuickie cannot be held responsible. Furthermore, you agree not to use our AI-driven tools or automation bridges for any fraudulent or illegal activities that violate California state laws or the federal laws of the United States.

Payment Terms and Subscription Billing

Engagement with Kuickie requires adherence to our structured payment cycles, which may include one-time setup fees or recurring monthly subscriptions depending on your selected tier. All fees are quoted in USD and are non-refundable once the service implementation phase has commenced, given the intensive labor and technical resources required for automation setup. For subscription-based models, payments are processed automatically at the start of each billing cycle; failure to maintain a valid payment method may result in the immediate suspension of your automation syncs and AI support tools. We reserve the right to adjust our pricing with a 30-day notice, ensuring you have ample time to evaluate your continued partnership with our agency.

Intellectual Property and Proprietary Rights

All code, custom scripts, AI workflows, and automation logic developed by Kuickie remain the exclusive intellectual property of Kuickie unless otherwise agreed upon in a signed written contract. While you are granted a non-exclusive, non-transferable license to use these systems for your business operations during the term of our engagement, you may not reverse-engineer, decompile, or redistribute our proprietary frameworks. The “Kuickie” name, logo, and all related branding are trademarks of our agency. Any unauthorized use of our intellectual property is a violation of US copyright laws and will be prosecuted to the fullest extent permitted by California jurisdiction.

California Privacy Rights and Data Security

In accordance with the California Consumer Privacy Act (CCPA), we are committed to protecting the personal information of our clients and their end customers. Kuickie implements industry-standard security measures to protect data transmitted through our automation bridges and AI support modules. We do not sell your data to third parties; however, data must necessarily be shared with your integrated partners (such as 3PL providers or shipping carriers) to perform the requested services. You represent that you have obtained all necessary consents from your customers to process their data through our automated systems. Clients residing in California have the right to request a disclosure of the categories of personal information we collect and the right to request deletion under specific legal conditions.

Limitation of Liability and Indemnification

To the maximum extent permitted by California law, Kuickie, its directors, and employees shall not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of profits, data loss, or business interruption resulting from the use or inability to use our automation tools. You agree to indemnify and hold harmless Kuickie against any claims, damages, or legal fees arising from your breach of these terms or your violation of any third-party rights through the use of our services. Our total liability for any claim arising out of this agreement shall not exceed the total amount paid by you to Kuickie during the three months preceding the event that gave rise to the claim.

Governing Law and Contact Information

These Terms and Conditions are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding arising under these terms shall be brought exclusively in the courts located in California, and you hereby consent to the personal jurisdiction and venue therein. If any provision of these terms is found to be unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.
